PHI MEMBERSHIP Purchase AGREEMENT

This Membership Purchase Agreement ("Agreement") is entered into on the date of membership token purchase, by and between Actualize Earth LLC, a Colorado limited liability company ("Company"), and the undersigned individual or entity ("Token Purchaser").

1. DEFINITIONS

1.1 Membership Tokens: Refers to the digital tokens issued by Actualize Earth LLC during the pre-sale period, entitling the Token Purchaser to membership benefits within the Actualize Earth platform.

1.2 Actualize Earth Platform: Refers to the online platform developed and operated by Actualize Earth LLC.

2. TOKEN PRE-SALE

2.1 Token Pre-Sale Period: The Company agrees to offer Membership Tokens for pre-sale during the specified period, as communicated by the Company on its official website and other communication channels.

2.2 Token Purchase: The Token Purchaser agrees to purchase Membership Tokens from the Company during the pre-sale period, subject to the terms and conditions set forth in this Agreement.

3. NO GUARANTEED RETURN ON INVESTMENT

3.1 The Token Purchaser expressly acknowledges and agrees that the purchase of Membership Tokens does not guarantee any return on investment. The value of Membership Tokens may fluctuate, and the Company makes no representations or warranties regarding the future value of the Membership Tokens.

3.2 The Token Purchaser understands and accepts the risks associated with the purchase and holding of Membership Tokens, and hereby waives any claims against the Company arising from the lack of guaranteed return on investment.

4. TOKEN USAGE

4.1 The Membership Tokens are intended for use within the Actualize Earth platform only. The Token Purchaser acknowledges that the Membership Tokens are not intended for external trading platforms or exchanges.

4.2 Membership Tokens may be utilized to access and enjoy benefits within the Actualize Earth platform, as outlined in the Company's terms of service and membership agreement.

5. COMPLIANCE WITH APPLICABLE LAWS

5.1 The Token Purchaser agrees to comply with all applicable laws, regulations, and guidelines in their jurisdiction regarding the purchase, holding, and use of Membership Tokens.

6. MISCELLANEOUS

6.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.

6.2 This Agreement may be amended only in writing and signed by both parties.
