Actualize Earth Affiliate Program Terms and Conditions

1. Introduction: Welcome to the Actualize Earth Affiliate Program. This document outlines the terms and conditions (the "Agreement") under which you ("Affiliate") agree to participate in the Affiliate Program offered by Actualize Earth LLC ("Actualize"). Participation in the program is contingent upon your acceptance of these terms.

2. Eligibility:

• Participants must be 18 years or older.
• Participants must complete the affiliate registration process and be approved by Actualize.
• Participants must agree to comply with all terms outlined in this Agreement.

3. Affiliate Responsibilities:

• Affiliates must use ethical and legal means to promote Actualize services.
• Affiliates are prohibited from using spam or other unsolicited mass emailing techniques.
• All marketing materials must be compliant with all applicable laws and regulations.

4. Compensation:

• Affiliates will receive a commission for each new customer that signs up for Actualize services using the affiliate's unique referral link.
• Commission rates may be changed by Actualize at any time and will be communicated to affiliates through email updates.
• Payments will be made monthly.

5. Payment Procedure:

• Commissions are paid only on transactions that have been successfully completed.
• Payments will be made via Stripe on the Actualize app platform.
• Affiliates are responsible for providing accurate payment information and for any taxes associated with received payments.

6. Intellectual Property:

• Actualize grants affiliates a non-exclusive, non-transferable license to use and display Actualize trademarks and marketing materials solely in connection with the Affiliate Program.
• Affiliates are not permitted to alter any branding, logos, or marketing materials provided by Actualize without prior written consent.

7. Term and Termination:

• This Agreement will commence upon your acceptance into the Affiliate Program and will end when terminated by either you or Actualize.
• Either party may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Termination of affiliate contract will results in loss of affiliate commission.

8. Confidentiality:

• Affiliates must not disclose or use any confidential information of Actualize for any purpose outside the scope of this agreement, except with Actualize's prior permission.

9. Limitation of Liability:

• Actualize will not be liable for indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.

10. Miscellaneous:

• This Agreement represents the entire agreement between you and Actualize regarding your participation in the Affiliate Program.
• This Agreement shall be governed by and interpreted in accordance with the laws of Colorado in which Actualize is registered, without regard to conflict of law principles.
